Acceptance of Terms

These Terms of Service form a binding agreement between you and Innominal Technologies Limited ("Innominal," "we," "us," or "our"), the operator of the crwded mobile application and crwded.app website (collectively, "crwded" or "the service"). By accessing or using crwded, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this application. These terms are in addition to the Apple App Store Terms of Service and/or Google Play Terms of Service, which also apply to your use of the app.

Description of Service

crwded is a community-building platform that automatically assembles small, recurring, activity-based local groups. The service provides: • AI-powered matching to connect you with compatible group members • Automated meetup scheduling and venue suggestions • In-group messaging and coordination • Activity recommendations based on group preferences The service is provided "as is" on a best-effort basis. We do not guarantee specific group composition, meetup frequency, or compatibility outcomes.

Merchant of Record & Payments

The App Store (Apple) and Google Play are the merchants of record for any transactions made through the app. Apple Inc. and Google LLC handle all billing, taxes (including GST/QST for Canadian users), and refunds for in-app purchases. We do not collect, process, or store payment information. App Store terms: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/ Google Play terms: https://play.google.com/about/play-terms.html For refund requests, contact Apple or Google directly through their respective stores. For subscription cancellation, use your device's subscription settings. Quebec residents: Apple and Google act as merchants of record and remit applicable taxes (GST 5% + QST 9.975%) to Revenu Québec / CRA. No additional taxes are collected by crwded.

User Accounts

To use crwded, you must: • Be at least 18 years old • Provide accurate information during registration • Maintain the security of your account • Accept responsibility for all activities under your account • Not create multiple accounts or impersonate others • Use your real identity — fake profiles and misrepresentation are prohibited We reserve the right to suspend or terminate accounts that violate these terms.

User Conduct

You agree NOT to: • Harass, abuse, or harm other users • Use hate speech or discriminatory language • Share inappropriate, illegal, or harmful content • Spam or send unwanted messages • Solicit or promote commercial products without permission • Attempt to circumvent safety features • Create groups for illegal activities • Impersonate other users or misrepresent your identity • Scrape, collect, or store data about other users outside the app's intended functionality

Community Standards

crwded is built on mutual respect and positive community interaction. We expect users to: • Treat all group members with respect and courtesy • Honor meetup commitments and RSVP accurately • Communicate honestly about availability and preferences • Report safety concerns through in-app reporting • Respect venue rules and local laws during meetups

Content and Intellectual Property

You retain ownership of content you create, including messages shared within groups. By using crwded, you grant us a non-exclusive, royalty-free license to: • Display your content within the groups you participate in • Use aggregated, anonymized data to improve our services • Include your content in backup and system operations You may not share copyrighted content without permission from the rights holder. We may remove content that violates these terms or applicable law.

Reporting and Safety

We take safety seriously. If you experience or observe concerning behavior, use the Report function available on user profiles and chat messages. Reports are reviewed within 24 hours. We may: • Issue warnings to reported users • Temporarily suspend accounts during investigation • Permanently ban users for serious violations • Involve law enforcement when required by law or safety concerns

Disclaimers

crwded is provided "as is" without warranties of any kind, express or implied. We do not guarantee: • The availability or reliability of the service • The accuracy of AI-generated recommendations or assessment summaries • The safety of meetup venues or attendees • The truthfulness of other users' information • That meetups will occur as scheduled You participate in meetups at your own risk. Use common sense and take appropriate safety precautions. We are not responsible for the conduct of any user on or off the service.

Limitation of Liability

To the maximum extent permitted by law, crwded and its developers shall not be liable for: • Personal injury or property damage during meetups • Interactions between users on or off the platform • Loss of data or service interruption • Indirect, incidental, special, or consequential damages • Any AI-generated content that is inaccurate or inappropriate Total liability is limited to the amount you paid for the service in the 12 months preceding the claim, or CAD $100, whichever is greater. Quebec Consumer Protection Act mandatory provisions apply regardless of this limitation.

Indemnification

You agree to indemnify and hold harmless crwded, its developers, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from: • Your use of the service • Your violation of these terms • Your violation of any third-party rights • Your conduct during meetups or interactions with other users

Dispute Resolution & Arbitration

Any dispute arising from these terms or your use of crwded shall be resolved through binding arbitration administered by the Canadian Arbitration Association (ADR Institute of Canada) under its Consumer Arbitration Rules. The arbitration shall be conducted in Montreal, Quebec, Canada. You and crwded agree that: • Disputes will be resolved individually — no class actions or class arbitrations • The arbitrator's award is final and binding • Either party may seek injunctive relief in court for intellectual property violations • Quebec consumer protection law (Consumer Protection Act) overrides any clause that is less favorable to a Quebec consumer A party must initiate arbitration within one (1) year after the dispute arises. For informal disputes, contact legal@crwded.app first — we will attempt to resolve issues within 30 days.

Termination

We may terminate or suspend your account at any time for any reason, including violation of these terms. Upon termination: • Your right to use the service immediately ceases • Your content may be deleted • Provisions that by their nature should survive remain in effect You may delete your account at any time from Settings. Account deletion is permanent and cannot be undone.

Governing Law

These Terms shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law provisions. The parties submit to the exclusive jurisdiction of the courts of the District of Montreal (Quebec) for any matter not subject to arbitration. For users outside Canada, local mandatory consumer protection laws may override certain provisions of these Terms.

Changes to Terms

We may modify these terms at any time. Material changes will be notified through the app or via email. Continued use after changes constitutes acceptance. We encourage periodic review of these terms.
